Proofpoint to buy Varonis for $6.3B in all-cash data and AI security deal
Proofpoint announced on October 15 that it signed a merger agreement to acquire data security firm Varonis in an all-cash deal valued at about $6.3 billion, expected to close in the first half of 2027 subject to Varonis shareholder and regulatory approval. iThome, citing SecurityWeek, reported it is the largest cybersecurity acquisition announced so far in 2026. Both companies had already expanded into AI security: Varonis acquired AllTrue.ai in February and launched its enterprise AI security platform Varonis Atlas in March, while Proofpoint launched its AI agent security product Proofpoint AI Security in March and disclosed its Agentic Data and AI Security system in September. Proofpoint said it plans to combine the two companies' technologies into a unified data and AI security platform after closing; until then they will operate independently, and Varonis will delist from Nasdaq.
Both firms have recently made AI security a product focus, and they plan to merge their technologies into a unified data and AI security platform, which if approved would put email and data security capabilities under one vendor.

兩家公司在這次併購前都已擴展AI安全業務。Varonis於今年2月宣布併購AI安全業者AllTrue.ai，並於3月推出企業AI安全平臺Varonis Atlas，進一步擴展AI安全產品布局。Proofpoint則在3月推出AI代理安全產品Proofpoint AI Security，並於9月公布整合資料安全與AI安全的Agentic Data and AI Security系統。
今年9月初，Proofpoint與Varonis洽談併購的消息已傳出，當時Varonis市值約50億美元。這次併購仍須取得Varonis股東及主管機關核准，完成後Varonis將從那斯達克下市，轉為非上市公司。在此之前，兩家公司將繼續獨立營運。
